Payment Terms

The following conditions (referred to as these “Payment Terms”) outline the terms for any payments you make or receive regarding the services provided on or through www.digilancer.com or within the Digilancer mobile application (together, the “Site”), owned by Digilancer, LLC (99 Wall Street #3009, New York, NY 10005) alongside its subsidiary, Digilancer SMC Pvt Ltd. (22 Corniche Road, Phase 4, Bahria Town, Islamabad, 44000).

Digilancer, LLC (99 Wall Street #3009, New York, NY 10005) and its subsidiary Digilancer SMC Pvt Ltd. (22 Corniche Road, Phase 4, Bahria Town, Islamabad, 44000) are jointly referred to here as “Digilancer,” “we,” or “us.” We recommend reading these Payment Terms thoroughly before you either make or receive payments for the services available on or through the Site. By making or receiving payments for services offered on or through the Site, you confirm and consent, on your own behalf or for your employer or any other organization (if applicable), to be legally bound by and to observe these Payment Terms. These Terms function as an extension of Digilancer’s General Terms of Service and, where relevant, the Digilancer Pro Terms of Service (together referred to as the “Terms of Service”).

1. Key Terms

All capitalized terminology used but not separately defined here will follow the meanings assigned in the Terms of Service.

Digilancer Balance: A combined total of any Seller Earnings plus any refunded payments from canceled Orders (or canceled Weekly Reports) for Buyers, in addition to your Digilancer Pro Balance (as defined under the Digilancer Pro Terms of Service).

Payment Services Provider(s): Third-party payment entities that facilitate monetary transactions for both Buyers and Sellers in connection with the Site. Their services comprise gathering funds from Buyers for Orders, transmitting payments to and from Sellers, handling local-currency conversions, and holding Digilancer Balance amounts.

Earnings: The funds that Sellers accumulate through Digilancer, which they may withdraw or use to purchase services on the Site, as specified by these Terms.

2. Receiving Payments

2.1 General

In your capacity as a Seller, for every Order that you deliver successfully, your account will be credited with Earnings of 85% of the total sale price.

For Sellers handling Hourly Contracts, the Service detailed in each Weekly Report you properly fulfill will credit your account with Earnings equal to 85% of the Hourly Rate multiplied by the number of hours in that Weekly Report.

Digilancer adds funds to a Seller’s account after an Order, or a Weekly Report for Hourly Contracts, is marked complete. Refer to the “Orders” section of the Terms of Service for more details.

Whenever an Order or a Weekly Report for Hourly Contracts is canceled (no matter the reason), the money paid is directed back to the Buyer’s Digilancer Balance.

Sellers must bear responsibility for any direct or indirect taxes (including GST, VAT, or income taxes) that might be relevant in their jurisdiction based on location, residency, or other factors. Sellers affirm that they abide, and will continue to abide, by all tax requirements in their jurisdiction. The price displayed on the Order Page, a Seller’s AI Model page, or the Logo Maker page (or otherwise as established between Buyer and Seller) includes all such applicable taxes and fees for which the Seller is liable.

Appointment as Limited Payment Collection Agent: The collection of payments to Sellers is carried out by Payment Services Providers. If Digilancer receives funds, the Seller agrees that Digilancer obtains them in the role of Seller’s agent. Hence, the Seller designates Digilancer as the Seller’s limited authorized agent exclusively for receiving payments (through its Payment Services Providers, if needed) from the Buyer and distributing those sums to the Seller. The Seller concurs that once the Buyer pays Digilancer, it is effectively the same as paying the Seller directly. At the same time, Digilancer, through its Payment Services Providers, assumes responsibility for providing that payment to the Seller in accordance with these Payment Terms. Should Digilancer (through its Payment Services Providers) for any reason fail to forward any sum to the Seller, the Seller’s sole recourse lies with Digilancer rather than the Buyer. Furthermore, the Seller consents to Digilancer’s right to echo or otherwise convey the contractual obligations stated here in any Terms of Service, disclosures, receipts, or notices (such as those furnished to Buyers) that Digilancer determines are suitable or required.

Digilancer is not a Payment Services Provider. Digilancer collaborates with Payment Services Providers to manage Buyer payments, deliver funds from Buyers to Sellers, and hold Digilancer Balance amounts. Digilancer itself does not perform any of those payment tasks directly. Additionally, every step tied to releasing funds on the Site (withdrawals) is overseen by Digilancer’s Payment Services Providers rather than by Digilancer. As a Seller, you agree to abide by any supplemental terms or policies established by a Payment Services Provider, which could be updated periodically by that Payment Services Provider.

2.2 Withdrawing Earnings

Sellers can transfer their Earnings out via one of Digilancer’s withdrawal methods (described in Section 2.3 below, covering the relevant withdrawal fees). To access the Earnings available for withdrawal, you must select the corresponding withdrawal provider in your account interface.

To withdraw Earnings, you need a valid account with at least one recognized Digilancer Payment Services Provider listed under Section 2.3. Money eligible for withdrawal will reside in the account set up with Digilancer’s Payment Services Provider. Those withdrawal services are carried out by the Payment Services Provider, not by Digilancer itself.

Your Digilancer profile can only link with a single account for each Digilancer withdrawal option. Furthermore, a Payment Services Provider account for withdrawals can link to only one Digilancer profile.

You can withdraw your Earnings on the Earnings page only after the 14-day “safety clearance” period passes from when an Order is indicated as complete. For Top Rated Sellers, that clearance time is 7 days following completion. In Hourly Contracts, the 7-day safety period follows the time a Weekly Report is closed.

In some instances, Digilancer may hold back a Seller’s ability to withdraw Earnings if Digilancer (at its absolute discretion) believes this is necessary to follow laws, prevent fraudulent actions, or defend Digilancer’s (and others’) rights or interests. Though not all-inclusive, such limitations may stem from security alerts, prior misconduct allegations by other members, or connecting numerous Digilancer accounts to the same withdrawal provider.

You can withdraw only as much as is visibly available in your account.

Withdrawal costs vary by method and are governed by your chosen Payment Services Provider.

Withdrawals are conclusive and cannot be reversed once initiated. We are unable to terminate or roll back the withdrawal after you have triggered it.

In some cases, you may access multiple currencies for withdrawal. All currency exchange procedures for these withdrawals are performed by Digilancer’s Payment Services Providers. Since your Digilancer Balance is based on its USD amount, the local currency figure of your balance can change daily because of exchange-rate shifts and may include conversion charges. Sellers always have the choice to withdraw their Earnings in US dollars.

Sellers with accounts that become disabled may still withdraw any Earnings after a 90-day wait, as soon as Digilancer fully authenticates account ownership, following the day the final cleared payment hit their profile, and subject to Digilancer’s final authorization.

2.3 Withdrawal Methods

Below is a summary of each recognized withdrawal method, along with the fees collected by your chosen Payment Services Provider, where relevant:

Withdraw to your PayPal Account – US$0 Fee*. Refer to PayPal’s site for a regional list of their services.

Digilancer Revenue Card (powered by Payoneer) – US$1 Fee* if completed within 2 days, or US$3 Fee* if completed within 2 hours. Check “Pricing and Fees” for details. This method is available internationally, with the exceptions of India and Russia.

Local Bank Transfer (LBT) (powered by Payoneer) – US$3 per transfer*. Check “Pricing and Fees” for additional info. Accessible internationally.

Direct Deposit (ACH) (powered by Payoneer) – US$1 per transfer*. Check “Pricing and Fees.” Available only in the United States.

* Keep in mind that the Payment Services Provider you pick (PayPal, Payoneer, etc.) can implement further charges based on your region and desired currency.

3. Purchasing

3.1 General

Buyers send payment to Digilancer to start an Order from a Seller’s Order Page, any Custom Offer, a Seller AI Creation Model, or through the Logo Maker. For Hourly Contracts, Pro Clients settle payment every Monday for hours in the Hourly Weekly Report (for more details, see “Hourly Contracts” below).

Digilancer is not a Payment Services Provider. Our partnership with Payment Services Providers allows us to gather payments from Buyers, convey those sums to Sellers, and store them in line with Digilancer Balances. These services do not involve Digilancer directly issuing or collecting funds.

Digilancer’s role is strictly that of the Seller’s limited authorized agent for receiving payments (through a Payment Services Provider when appropriate) from the Buyer and forwarding them to the Seller. Once Digilancer (via its Payment Services Provider) obtains the Buyer’s payment, the Buyer’s financial duty toward the Seller is considered fulfilled. Digilancer (via the Payment Services Provider) is entrusted with paying that amount to the Seller pursuant to these Payment Terms. If, for any reason, Digilancer fails to pass along any portion of that sum, the Seller’s only claim is with Digilancer, not with the Buyer. In agreeing to accept this liability strictly as a minimal, authorized payment-collection agent for the Seller, Digilancer and its affiliates are not held accountable for any behavior or neglect on the Seller’s part.

Buyers in numerous regions can pay on Digilancer with one of the following methods: a valid credit card, PayPal, Digilancer Credits, or an existing Digilancer Balance. Other methods might be permitted in specific countries. Click here for further details on available payment avenues.

The service fees payable on Digilancer assist with overhead and administrative expenses.

Service fees are calculated at the point of purchase, giving you a chance to review and confirm the final payable sum. As of June 2024, service fees for all Orders stand at 5.5% of the transaction total. For Orders below US$100, there will be a US$3 small-order surcharge.

For Hourly Contracts, when the Hourly Contract begins and you confirm the Hourly Rate, a one-time Order Initiation Fee is added to each new Hourly Contract, plus any relevant service fees to the Hourly Rate. Effective July 2024, the Order Initiation Fee is US$5, and the Hourly Contract service charge is 5.5% of the Hourly Rate.

If you have any existing Digilancer Balance and initiate a new purchase on Digilancer, that balance is applied automatically toward the cost.

You cannot present or receive any payment from Sellers via any approach other than those supported on the Site. If a Seller directs you to pay via a method off Digilancer, please contact Customer Support immediately.

You recognize and consent to get your receipts and/or invoices electronically (via PDF) through email or directly in the Site.

To guard against fraud, invalid charges (like money laundering), or other similar risks, Digilancer or its Payment Services Providers compile payment details tied to withdrawals. The Payment Services Providers might obtain extra data if needed to manage withdrawal transactions. The details you supply them will be regulated by the Payment Services Provider’s own privacy policy and terms.

By adopting any payment procedure and providing your payment information, you confirm that: (a) you are lawfully permitted to submit such info; (b) you are either the authorized user or have the owner’s consent to use the designated payment method(s); (c) if you represent a business or organization that is the owner of the payment method, you have approval from that entity to handle transactions on Digilancer; and (d) none of these actions are contrary to any relevant law.

3.2 Hourly Contracts

After a Pro Client approves an hourly Custom Offer and pays the Order Initiation Fee, the Hourly Contract begins. The Pro Client permits Digilancer to deduct from their payment method the Hourly Rate, plus service fees and applicable taxes, for the Weekly Report’s hours.

The Hourly Contract’s billing cycle starts Monday at 00:00 UTC and closes Sunday at 23:59 UTC. Pro Clients automatically get charged each Monday, receiving an invoice for the Seller’s recorded hours in the Weekly Report.

On Sunday at 23:59 UTC, the Hourly Weekly Report automatically proceeds to the Pro Client for review.

After charging the Pro Client’s payment option, a Weekly Report finalizes automatically if not contested within 72 hours (“Dispute Period”). It’s the Pro Client’s responsibility to examine each Weekly Report and raise disputes within that window. When the Dispute Period ends, the Pro Client is deemed to have confirmed the Freelancers’ tasks in that Weekly Report.

Disputes can only question hours in the Weekly Report. Digilancer does not assure any particular standard of final deliverables, and Customer Support will not mediate disputes over service quality.

3.3 Purchasing through Digilancer Go

Every AI-Generated Delivery is priced at a set rate defined by the Seller.

Before you finalize the Order in the Seller’s AI Model, you will be able to review a watermarked sample of the AI-Generated Delivery.

As a Buyer, you are free to request from the Seller (within 24 hours after purchase) a single revision to the AI-Generated Delivery, if it fits the Seller’s stated scope.

If you want further changes, you may always contact the Seller for a Custom Offer.

For canceling a Digilancer Go AI-Generated Delivery, reference the “Disputes and Cancellations” section further down.

3.4 Purchasing through Digilancer Logo Maker

Each Logo Design on the platform has a fixed price in USD and can be procured either in a standard package or advanced packages stated on the Logo Design Order Page.

Prior to confirming an Order, you can see a watermarked version of the Logo Design personalized with your brand name and adjust it further using integrated design tools. Once payment is done, those Logo Design Orders cannot be canceled.

You can also purchase additional redesign work from the same Seller who originated the Logo Design. Fees for such redesign tasks are decided by the Seller, and the service fee only applies to those added redesign services. If you need to cancel redesign requests, check the “Disputes and Cancellations” section below.

3.5 Local Currencies

You have the option to pay for services on the Site in diverse currencies, although prices might be rounded up to the nearest whole number. While the site will display the currency you pay in, note that all local-currency conversions are handled by Digilancer’s Payment Services Providers, not by Digilancer itself. If certain payment methods can’t process a specified currency, you may end up paying in USD even if a different currency was shown. In any case, the final payable amount in the actual billed currency will be made visible to you before completion.

When dealing with Hourly Contracts, all transactions use the currency chosen at the time the Client initiates the Hourly Contract, and subsequent payments will use that same currency. Consequently, the Hourly Rate might adjust based on exchange rates when payment is processed.

Keep in mind that all posted prices on Digilancer ultimately reference a US$ base. Hence, foreign-currency amounts can fluctuate daily because of exchange rate changes and could also involve conversion fees. Buyers may always opt to pay in USD by selecting that currency preference.

If you originally pay for an Order (or a Weekly Report for Hourly Contracts) in a non-USD currency and later cancel for any cause, the amount that returns to your Digilancer Balance is based on the exchange rate on the cancellation date. Consequently, the amount may differ from the original figure in the local currency, though the US$ value remains consistent.

Because your Digilancer Balance is grounded in USD, if you elect to view it in another currency, it can vary daily with exchange rates while preserving the same underlying US$ worth. You may switch your displayed currency back to USD at any point.

3.6 Digilancer Credits

Occasionally, Digilancer may grant you certain credits (“Digilancer Credits” or simply “Credits”) either for promotional deals or other reasons, for use in ordering Services on the Site. Any Credits you have will be accessible in your account. These Credits apply automatically to the next suitable Order, and you can see this reflected in your Order summary when you check out. Unless specified otherwise, Digilancer Credits expire three months after they’re issued. They act solely as a courtesy to be spent on Digilancer, are not redeemable for cash or anything else of value unless Digilancer specifically allows, have zero cash value, and cannot be reimbursed. Once the Credits are used, they are not returned to your balance even if the relevant Order or Weekly Report is canceled. Credits might come with additional stipulations and conditions that we disclose to you once you obtain them. Credits could be declared invalid if misused, obtained through deceptive means, or if the Terms are violated. Digilancer retains the right to update or terminate the Credits program at any time. If you or Digilancer deactivates or suspends your account, any Credits still in your account are void.

3.7 Promo Codes

Occasionally, we might provide promo codes for Orders and/or other services, granting special markdowns. These codes only apply to purchases on Digilancer, and they may expire after the indicated time or usage limit. Promo codes have no actual financial value. To redeem, enter the code at checkout. Failing to do so invalidates the discount for that purchase. Promo codes are restricted to a single use per user and cannot be used alongside other offers. If you have an Order with multiple milestones, the code will only discount the first milestone. Promo codes do not apply to Digilancer Credits. These codes could be accompanied by additional rules and restrictions communicated to you upon receipt. They could be canceled if we discover fraud, misuse, or Terms infringements. Digilancer can also update or discontinue promo codes anytime.

4. Taxes

Under applicable regulations, Digilancer may have to levy indirect taxes (like Sales Tax, VAT, or GST) or withhold taxes. Any such mandatory charge will be added on top of the purchase total and any other fees owed by the Buyer, and any tax Digilancer must withhold from the Seller’s payments will be taken out of the Seller’s Earnings, if relevant.

These indirect taxes will be displayed to the Buyer before finalizing any payment, and are besides the price shown on the Site.

Users themselves remain responsible for any direct or indirect taxes (for instance, GST, VAT, or income tax) that could apply based on their location, residency, or other conditions, pursuant to laws in their own jurisdiction.

5. Disputes and Cancellations

Digilancer suggests Buyers and Sellers make an effort to fix any disputes directly. If that is not successful, including if you find disallowed activity on the Site or if attempts via the Resolution Center fail, please reach out to Digilancer’s Customer Support for help.

5.1 Basics

Cancellations of Orders (or Weekly Reports in the Hourly Contracts context) can occur on Digilancer if conditions allow, and may be done by Digilancer (via Customer Support or other methods) or via the Resolution Center.

Initiating a payment reversal (chargeback) with your card provider or bank after an Order (or Weekly Report in Hourly Contracts) is accepted and delivered contravenes these Payment Terms. Doing so could result in the account being suspended or banned. Note that once you file a dispute with your payment provider, the funds are no longer eligible for reimbursement by Digilancer because of obligations with the payment provider.

If you face a Service-related issue, you should attempt to settle it using the Site’s dispute tools.

Digilancer, acting through its Payment Services Provider, has the right to cancel Orders or hold funds if we suspect legal violations, Terms of Service infractions, or fraudulent actions on the Site.

Ownership or license rights to the Buyer only become effective after the Buyer fully pays. If payment is revoked or canceled, the Buyer must not make use of any delivered product.

If an Order is canceled for any reason, the money returns to the Buyer’s Digilancer Balance.

Sellers may provide revisions at their discretion, consistent with their Order listing and approach to customer service, which might include zero or multiple revision rounds.

Requests for adjustments can be lodged from the Order Page while the status is “Delivered” (including in Hourly Contracts).

The Request Revisions button should not be leveraged to obtain extra benefits or tasks not initially specified.

5.2 Order Cancellations

Digilancer favors a mutual resolution of any service dispute via the Resolution Center.

When you approach Digilancer for an Order’s cancellation, Digilancer will weigh possible misconduct, contraventions of our Terms of Service and/or Community Standards, or improper use of Digilancer’s delivery process to decide eligibility.

Finished Orders (or completed milestones, where relevant) can be canceled for up to 14 days post-completion if Customer Support notices potential misconduct or Terms violations. Note that Digilancer can only cancel the entire Order, not a fraction. For Hourly Contracts, concluded Weekly Reports may be revoked within 7 days post-completion if Customer Support identifies potential misconduct or Terms breaches.

In rare cases where it seems valid, Customer Support might still revoke a concluded Order after 14 days. Similarly, in Hourly Contracts, Customer Support might revoke a completed Weekly Report post 7 days. In that event, the funds from the canceled Order (or canceled Hourly Report) revert to the Buyer’s Digilancer Balance and are subtracted from the Seller’s Digilancer Balance or upcoming Earnings.

For Orders placed through the Digilancer Go AI Model or Digilancer Logo Maker, if the law allows, once the payment is made, the Order is final and ineligible for cancellation or refund.

Orders cannot be canceled solely due to dissatisfaction with delivered materials if the service was fulfilled as stated on the Order Page or in alignment with agreements reached between Buyer and Seller. You may leave feedback for the Seller on the Order Page, reflecting the quality of service.

You should handle any service-related concerns through Digilancer’s Resolution Center before resorting to Customer Support. If you do not allow the Seller a chance to correct issues, Customer Support will not act to cancel the Order. This excludes unauthorized or prohibited usage on Digilancer.

Identified non-permitted usage of Digilancer in the context of an Order may prompt cancellation once Customer Support verifies the breach. This can include harassment, unlawful activity, or other contraventions of our Terms of Service.

Digilancer may annul Orders (or Weekly Reports in Hourly Contracts) based on, but not confined to, any of the circumstances listed below:

 Active Orders (once the Buyer has submitted requirements to the Seller but before the Seller has delivered via Digilancer):

If the Seller is late and remains nonresponsive for over 24 hours after the Order is flagged as Late.

If parties engage in hostile or threatening language, or if one side uses Order details (logins or private info) to pressure or blackmail.

If a user includes or supplies copyrighted or trademarked content in their requirements or if that content is used in the Seller’s final product.

If the user is no longer active on Digilancer due to Terms violations or their account closure.

Delivered Orders (after the Seller taps Deliver Now but before the Order is labeled complete):

If the Seller misuses the delivery button to keep prolonging the due date without actually delivering the final item. (Repeated offenses risk permanent suspension.)

If the Seller fails to provide any files or evidence of fulfilling the requirements. (Customer Support will evaluate subjectivity case by case.)

If the Seller attempts to demand extra payment, on or off the Site, by holding back the final deliverable integral to the initial scope.

If the Seller withholds the finished files to elicit more positive ratings.

If the Buyer abuses the Request Revisions feature to get extra work not listed originally.

If the Buyer threatens negative reviews to coerce more tasks beyond the stated scope.

Completed Orders or Weekly Reports (after the Order is finished but within 14 days, or 7 days for Hourly Contracts):

If there is credible evidence that the user applied copyrighted or trademarked items without proper authorization.

If a user leverages the delivered materials commercially without having purchased commercial rights. (These commercial usage rules are found on the Seller’s Order Page and cannot be obtained retroactively post 14 days of Order completion.)

Digilancer Customer Support may inspect suspected manipulations in the delivery process that prevented full utilization of the Resolution Center and caused an Order to be marked complete.

5.3 Chargebacks

Digilancer handles disputes arising from chargebacks and card-company conflicts on behalf of Sellers. Although the result depends on the specific grounds of the chargeback, we aim to advocate for the Seller’s interests. When possible, Digilancer, via its Payment Services Providers, returns partial or full Earnings to the Seller. Otherwise, the Seller bears the amount of the chargeback.

5.4 Refunds

Digilancer does not initiate refunds automatically to your original payment method if you cancel an Order or, in Hourly Contracts, if a Weekly Report is canceled. Rather, canceled funds revert to the Buyer’s Digilancer Balance for upcoming purchases on Digilancer.

You can request a direct refund from your Digilancer Balance back to your chosen payment method by visiting the billing section. The exact returned amount and currency will depend on your payment setup. Because we must prevent abusive refund tactics, the number of times you can request direct reimbursement is limited and must be reviewed by Customer Support. Such requests might come with extra fees.

Sellers may agree to give a partial refund for a specific Order or Weekly Report. If the Buyer accepts, the refunded portion goes back to the Buyer’s original payment method. If Digilancer, via its Payment Services Provider, cannot return the agreed sum to the Buyer’s payment method, the refunded sum is credited to the Buyer’s Digilancer Balance instead.

6. General Terms

6.1 Modifications

Digilancer may periodically update these Payment Terms. When revised, we will place the new version on this page.

By using Digilancer after the date these Payment Terms have been changed, you signal your acceptance of those updates. If you do not concur with any alterations, you must deactivate your account. For instructions, see “How to deactivate or permanently delete your account.”

Digilancer might modify these Terms due to platform changes, natural platform evolution, new or revised features or functionality, unavoidable external changes, new technologies, and compliance with emerging regulations, or to address security or fraud concerns.

6.2 Governing Law

All claims relevant to these Payment Terms about processing transactions and card payments within the United States will be regulated and interpreted under the laws of New York State. Any claims tied to payment processing outside the U.S. fall under the laws of Pakistan.
